Terms of Service

These terms govern your access to and use of Vertex CRM. By creating an account or using the service, you agree to them. If you're agreeing on behalf of an organization, you confirm you have authority to bind it.

1. The service

Vertex provides a CRM and growth platform delivered as software-as-a-service. We may add, change or remove features over time, and we work to keep the service available and reliable, but we provide it on an "as available" basis.

2. Accounts

You're responsible for your account, your workspace members and keeping credentials secure. You must provide accurate information and are responsible for activity that happens under your account.

3. Acceptable use

You agree not to misuse the service — including sending unlawful or unsolicited messages, infringing others' rights, attempting to breach security, reselling the service without authorization, or using it to store or transmit malicious code. You're responsible for complying with anti-spam, privacy and marketing-consent laws for any messages you send through Vertex.

4. Your content & data

You retain all rights to the data you put into Vertex. You grant us the limited rights needed to host and process it to provide the service. We act as your processor for personal data you control; our handling is described in the Privacy Policy and any data processing agreement.

5. Trials, plans & billing

  • Paid plans include a 14-day trial; no card is required to start.
  • Subscriptions renew automatically until cancelled. You can change or cancel your plan at any time; changes apply on your next renewal.
  • Metered usage above your plan's included bundle is billed on the following invoice.
  • Fees are exclusive of taxes unless stated. Payments are processed by our payment provider.
  • If a trial ends without a paid plan, your workspace becomes read-only; your data is retained, not deleted.

6. Third-party services

Vertex integrates with third-party services (e.g. Stripe, Google, Postmark, Telnyx). Your use of those is subject to their terms, and you're responsible for any keys or accounts you connect.

7. Intellectual property

Vertex and its software, design and trademarks remain our property. These terms don't grant you any right to our IP except the limited right to use the service.

8. Termination

You can stop using Vertex at any time. We may suspend or terminate access for breach of these terms or non-payment. On termination you can export your data for a reasonable period, after which it may be deleted.

9. Disclaimers & liability

To the maximum extent permitted by law, the service is provided "as is" without warranties, and our aggregate liability is limited to the fees you paid in the 12 months before the claim. We're not liable for indirect or consequential losses.

10. Changes & governing law

We may update these terms; material changes will be posted here with a new date. The terms are governed by the laws of the jurisdiction in which Vertex is established, without regard to conflict-of-laws rules.
